Brayce Terms of Service

Welcome to Brayce. These Terms of Service (“Terms”) govern your access to and use of the Brayce platform, website, and related services (collectively, the “Services”). By using Brayce, you agree to these Terms. If you do not agree, please do not use the Services.

1. Nature of the Service (Facilitator Only)

• Brayce is a platform that facilitates connections between general contractors, subcontractors, and other industry professionals.
• We do not employ, supervise, or control any users of the platform.
• We do not manage contracts, payments, or job performance.
• All agreements, work quality, timelines, and outcomes are strictly between the hiring party and the subcontractor.

2. No Liability for Work Performed

Brayce is not liable for:

• Work quality, project delays, or incomplete work.
• Damages, losses, or financial disputes between parties.
• Workplace accidents, injuries, or compliance issues.

All responsibility remains with the contracting parties.

3. Verification Disclaimer

• Brayce may collect and display certain information such as trade licenses, insurance documents, or certifications.
• We do not guarantee that this information is valid, current, or accurate.
• Users are solely responsible for conducting their own due diligence before entering into agreements.

4. No Guarantee of Jobs or Matches

• Being listed on Brayce does not guarantee job offers, contracts, or matches.
• We provide exposure and connection tools only.

5. User Responsibilities

By using Brayce, you agree to:

• Provide accurate, complete, and truthful information.
• Comply with all applicable laws, regulations, and licensing requirements.
• Maintain valid insurance and certifications where required by law.
• Not impersonate others, submit false documents, or misuse the platform.

6. Indemnification

You agree to indemnify and hold harmless Brayce, its founders, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services, (b) your breach of these Terms, or (c) your violation of any law or rights of a third party.

7. No Employment Relationship

• Brayce does not employ or contract subcontractors.
• Subcontractors using Brayce are independent professionals and not employees, agents, or representatives of Brayce.
• Brayce does not provide payroll, benefits, tax withholding, or insurance coverage for subcontractors.

8. Dispute Handling

• Brayce is not responsible for disputes between users.
• Any conflicts regarding payment, quality, liability, or project terms must be resolved directly between the contracting parties.
• At our discretion, we may provide tools or guidance to assist, but we are not obligated to intervene.

9. Limitation of Liability

• To the fullest extent permitted by law, Brayce’s total liability to you for any claim relating to the Services is limited to the amount you paid Brayce in the 12 months prior to the claim.
• If you have not paid Brayce, our liability is limited to $0.
• We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities.

10. Miscellaneous Legal Essentials

• Governing Law: These Terms are governed by the laws of Quebec, Canada. Any disputes must be resolved in the courts of Quebec.
• No Warranties: The Services are provided “as is” and “as available.” Brayce makes no warranties regarding uptime, accuracy, or reliability.
• Changes to Terms: We may update these Terms at any time. When we do, we will post the new version on our site and update the “Last updated” date. Continued use of Brayce after changes means you accept the new Terms.
• Severability: If one part of these Terms is found unenforceable, the rest remains in effect.

11. Termination

• We reserve the right to suspend or terminate any user account at our discretion, including (but not limited to) cases of:
• • Fraudulent activity,
• • Providing false or misleading information,
• • Violations of these Terms,
• • Conduct that harms other users or Brayce’s reputation.
